You confirm you are at least 18 years of age, or if you are a minor — i.e. under the age of 18 years — you are accessing the site under the supervision of a parent or guardian.

We may modify these Terms upon notice to you at any time. These modifications may include, without limitation, payment for the Services. Ensure that you check the Terms from time to time for available modifications, because your continued use of this platform after modification will be deemed to be your agreement to the amended Terms.

Personal information you provide to KUNOCH through the site is governed by the Kunoch Foods Privacy Policy, and your selection to use the site indicates your acceptance of that Privacy Policy. You are responsible for maintaining confidentiality of your username, password and other account identifiers. You are also responsible for all activities that occur in your user account, and you agree to notify us immediately of any unauthorised use of your user account by email or by calling us on any of the numbers listed on the website. Do not share, or make public, any of your sensitive account and login information, as we shall not be responsible for any loss or damage to you or to any third party incurred as a result of or in connection with your failure to comply with the provisions of these Terms.

The service may include certain Communications from KUNOCH, such as service announcements, administrative messages and newsletters. You understand that these communications shall be considered part of using the Site. As part of our policy to provide you total privacy, we also provide you with the option of opting out of receiving newsletters from us. However, you will not be able to opt out of receiving service announcements and administrative messages.

You may post reviews, comments, photos, videos, and other content, send e-cards and other communications, and submit suggestions, ideas, questions, or other information, so long as the content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights (including publicity rights), or otherwise injurious to third parties or objectionable, and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of "spam" or unsolicited commercial electronic messages. You may not use a false e-mail address, impersonate any person or entity, or otherwise mislead as to the origin of a card or other content. KUNOCH reserves the right (but not the obligation) to remove or edit such content, but does not regularly review posted content. If you do post content or submit material, and unless we indicate otherwise, you grant KUNOCH a non-exclusive, royalty-free, perpetual, irrevocable and fully sub-licensable right to use, reproduce, modify, adapt, publish, perform, translate, create derivative works from, distribute and display such content throughout the world in any media. You grant KUNOCH and sub-licensees the right to use the name that you submit in connection with such content, if they choose. You represent and warrant that you own or otherwise control all of the rights to the content that you post, that the content is accurate, that use of the content you supply does not violate this policy and will not cause injury to any person or entity, and that you will indemnify KUNOCH for all claims resulting from content you supply. KUNOCH has the right but not the obligation to monitor and edit or remove any activity or content. KUNOCH takes no responsibility and assumes no liability for any content posted by you or any third party.

You have the right to cancel your account at any time. Once the account is cancelled, all information associated with that account will be permanently deleted. You are solely responsible for account cancellation.

Unless otherwise indicated or anything contained to the contrary or any proprietary material owned by a third party and so expressly mentioned, we own all Intellectual Property Rights to and into the site, including without limitation, any and all rights, title and interest in and into copyright, related rights, patents, utility models, trademarks, trade names, service marks, designs, know-how, trade secrets and inventions (whether patentable or not), goodwill, source code, meta tags, databases, text, content, graphics, icons, and hyperlinks. You acknowledge and agree that you shall not use, reproduce or distribute any content on the Site belonging to KUNOCH without obtaining authorisation from us. We respect your right to ownership of content created or stored by you. Unless specifically permitted by you, your use of the Service(s) does not grant us the licence to use, reproduce, adapt, modify, publish or distribute the content created by you or stored in your user account for our commercial, marketing or any similar purpose. But you grant us permission to access, copy, distribute, store, transmit, reformat, publicly display and publicly perform the content of your user account solely as required for the purpose of providing the services to you.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE USE OF THE SITE IS AT YOUR SOLE RISK. The services are provided on an "as-is" and "as-available" basis. KUNOCH expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. KUNOCH makes no warranty that the service will be uninterrupted, timely, secure, or error free. Use of any material downloaded or obtained through the use of the services shall be at your own discretion and risk, and you will be solely responsible for any damage to your computer system, mobile telephone, wireless device or data that results from the use of the services or the download of any such material. No advice or information, whether written or oral, obtained by you from KUNOCH, its employees or representatives shall create any warranty not expressly stated in the Terms. Product representations expressed on this Site are those of the vendor and are not made by us. Submissions or opinions expressed on this Site are those of the individual posting such content and may not reflect our opinions. We make no representations as to the merchantability of any products listed on our website, and we hereby disclaim all warranties, whether express or implied, as to the merchantability and/or fitness of the products listed on our website for any particular purpose.

We may include links to third-party websites at any time. However, the existence of a link to another website should not be considered an affiliation or a partnership with a third party, or viewed as an endorsement of a particular website, unless explicitly stated otherwise. In the event the user follows a link to another website, he or she does so at his or her own risk. We accept no responsibility for any content, including, but not limited to, information, products and services, available on third-party websites. Creating a link to this website is strictly forbidden without our prior written consent. Furthermore, we reserve the right to revoke our consent without notice or justification.

You agree to indemnify and hold us, our affiliates, officers, directors, agents and/or employees, as the case may be, free from any claim or demand, including reasonable legal fees, related to your breach of these Terms of Use and User Agreement.

In addition to any other legal or equitable remedies, we may, without prior notice to you, immediately terminate the Terms and Conditions of Use or revoke any or all of your rights granted under the Terms and Conditions of Use. Upon any termination of this agreement, you shall immediately cease all access to and use of the Site, and we shall, in addition to any other legal or equitable remedies, immediately revoke all password(s) and account identification issued to you and deny your access to and use of this Site in whole or in part. Any termination of this agreement shall not affect the respective rights and obligations (including, without limitation, payment obligations) of the parties arising before the date of termination. You furthermore agree that the Site shall not be liable to you or to any other person as a result of any such suspension or termination. If you are dissatisfied with the Site or with any Terms, Conditions, Rules, Policies, Guidelines or Practices of KUNOCH in operating the Site, your sole and exclusive remedy is to discontinue using the Site.

This agreement shall be interpreted, enforced and construed in accordance with, and governed by, the Laws of the Federal Republic of Nigeria, without reference to conflict of laws principles, and disputes arising in relation to it shall be subject to the exclusive jurisdiction of the courts in Nigeria.

If any portion of these Terms or Conditions is held by any court or tribunal to be invalid or unenforceable, either in whole or in part, then that part shall be severed from these Terms and Conditions of Use and shall not affect the validity or enforceability of any other section listed in this document.

You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. Assigning or sub-contracting any of your rights or obligations under these Terms and Conditions of Use to any third party is prohibited unless agreed upon in writing by the seller. We reserve the right to transfer, assign or sub-contract the benefit of the whole or part of any rights or obligations under these Terms and Conditions of Use to any third party.

You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

We are determined to provide the most accurate pricing information on the Site to our users; however, errors may still occur, such as cases when the price of an item is not displayed correctly on the website. As such, we reserve the right to refuse or cancel any order. In the event that an item is mispriced, we may, at our own discretion, either contact you for instructions or cancel your order and notify you of such cancellation. We shall have the right to refuse or cancel any such orders whether or not the order has been confirmed and your debit/credit card charged. In the event that we are unable to provide the services, we will inform you of this as soon as possible. A full refund will be given where you have already paid for the products.

This Site is only for delivery of products to customers within Nigeria. We make every effort to deliver goods within the estimated timescales set out on our Site. However, delays are occasionally inevitable due to unforeseen factors. We shall be under no liability for any delay or failure to deliver the products within the estimated timescales where such delay or failure did not occur due to our fault or negligence. You agree not to hold the seller liable for any delay or failure to deliver products or otherwise perform any obligation as specified in these Terms and Conditions of Sale if the same is wholly or partly caused, whether directly or indirectly, by circumstances beyond our reasonable control.

You agree to indemnify us, our affiliates, officers, directors, agents and/or employees, as the case may be, free from any claim or demand, including reasonable legal fees, related to your breach of these Conditions of Sale.

If any portion of the Conditions of Sale is held by any court or tribunal to be invalid or unenforceable, either in whole or in part, then that part shall be severed from these Terms and Conditions of Sale and shall not affect the validity or enforceability of any other section listed in this document.

You agree that if you are unsure of the meaning of any part of these Terms and Conditions, or have any questions regarding the Terms and Conditions, you will not hesitate to contact us for clarification.
